These Terms of Service (“Terms”) govern your access to and use of MaryPay.com, the Mary Pay online store, and related websites, content, communications, products, tools, features, and services made available by Mary Pay (collectively, the “Services”).

By visiting MaryPay.com, creating an account, submitting an order, subscribing to communications, or otherwise using the Services, you agree to these Terms and to all policies incorporated into these Terms by reference, including our Privacy Policy and Return, Refund, Payment Authorization & Chargeback Policy.

If you do not agree to these Terms, do not use the Services.

Mary Pay is currently an ecommerce business offering merchant, POS, card-related, payment-industry, security, business, and related products. Mary Pay is also developing future fintech and payment-related technology and services.

MaryPay.com is powered in part by Shopify and may use independent payment processors, suppliers, distributors, fulfillment providers, carriers, fraud-prevention providers, loss-prevention providers, and other third parties to provide the Services.

2. Current Services and Future Fintech Services

Mary Pay currently offers ecommerce products, including merchant supplies, POS-related products, card-related products, security products, business accessories, and other merchandise.

Mary Pay is also building toward future services involving areas such as:

  • Payment processing;
  • Merchant services;
  • Online payments;
  • Point-of-sale payments;
  • Card payments;
  • Payment technology;
  • Business payment tools; and
  • Related fintech services.

Mary Pay does not currently provide banking, lending, deposit accounts, money transmission, card issuance, payment processing, or other regulated financial services.

References on MaryPay.com to future payment or financial technology describe services under development and Mary Pay’s plans for future expansion. They do not constitute an offer of a regulated financial product or service.

Any future regulated payment or financial service will be offered only if and when applicable legal, licensing, regulatory, compliance, technology, banking, and partner requirements have been satisfied.

Future services may be governed by separate terms and disclosures.

3. Funding the Development of Mary Pay

Revenue generated through sales on MaryPay.com may be used to support the development and growth of Mary Pay, including:

  • Technology development;
  • Payment-platform development;
  • Compliance infrastructure;
  • Regulatory preparation;
  • Legal and professional services;
  • Security;
  • Merchant tools;
  • Partnerships;
  • Staffing;
  • Marketing; and
  • General business operations.

Purchasing merchandise from MaryPay.com does not constitute an investment in Mary Pay and does not provide the customer with any ownership, equity, profit-sharing, repayment, or other financial interest in Mary Pay or any future product.

4. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction to purchase products through MaryPay.com.

By using the Services, you represent that:

  • You have legal capacity to agree to these Terms;
  • Information you provide is accurate;
  • You will not use the Services for an unlawful purpose; and
  • Where you purchase on behalf of a business or organization, you have authority to bind that entity to the transaction.

5. Accounts

Certain Services may permit or require a customer account.

You are responsible for:

  • Maintaining accurate account information;
  • Protecting your login credentials;
  • Restricting unauthorized access to your account; and
  • Promptly notifying Mary Pay if you believe your account has been compromised.

Mary Pay may suspend, restrict, or terminate an account where reasonably necessary for security, fraud prevention, loss prevention, policy enforcement, legal compliance, or protection of the Services.

6. Product Information

Mary Pay attempts to provide accurate product descriptions, specifications, images, compatibility information, pricing, and availability.

However:

  • Product information may originate from manufacturers, suppliers, distributors, or other third parties;
  • Images may be illustrative;
  • Packaging may change;
  • Manufacturers may alter specifications without notice;
  • Typographical or data errors may occur; and
  • Inventory information may change before an order is fulfilled.

Customers are responsible for reviewing product information before purchase.

When compatibility, fitment, dimensions, voltage, capacity, model number, or another specification is important, customers should independently confirm suitability before ordering.

7. Third-Party Products

MaryPay.com may sell products manufactured, distributed, supplied, or fulfilled by independent third parties.

Unless expressly stated otherwise, Mary Pay is the retailer or reseller and is not the manufacturer of third-party products.

Manufacturer warranties, certifications, instructions, safety information, and warranty procedures may be controlled by the applicable manufacturer.

References to third-party trademarks, brands, products, or manufacturers are for product identification and informational purposes and do not necessarily imply ownership, sponsorship, endorsement, or affiliation beyond the applicable commercial relationship.

8. Pricing

Prices are displayed in the currency indicated at checkout.

Mary Pay may change prices at any time before an order is accepted.

Pricing errors may occasionally occur. If an item is listed at an incorrect price because of a typographical, supplier, technical, feed, or other error, Mary Pay may:

  • Correct the price;
  • Contact the customer for approval;
  • Cancel the affected order; or
  • Refund an amount already paid.

A pricing error does not obligate Mary Pay to fulfill an order at an obviously incorrect price where cancellation is legally permitted.

9. Taxes

Customers are responsible for taxes, duties, fees, or government charges associated with a transaction except where Mary Pay is legally required to collect and remit them.

Applicable taxes may be calculated at checkout.

10. Order Acceptance

Submitting an order does not necessarily mean that Mary Pay has accepted it.

Mary Pay may review orders for:

  • Inventory availability;
  • Pricing accuracy;
  • Payment authorization;
  • Fraud;
  • Security;
  • Loss prevention;
  • Shipping restrictions;
  • Supplier availability;
  • Export or sanctions requirements;
  • Policy compliance; and
  • Other legitimate business considerations.

Mary Pay reserves the right to accept, reject, limit, cancel, or require additional verification for an order where permitted by law.

If Mary Pay cancels an order after collecting payment and no amount remains lawfully due, an appropriate refund will be issued.

11. Quantity Limits and Resale

Mary Pay may impose purchase limits or restrict unusually large orders.

Mary Pay may decline transactions that appear to involve:

  • Fraud;
  • Unauthorized resale;
  • Circumvention of quantity restrictions;
  • Export violations;
  • Sanctions violations;
  • Payment abuse; or
  • Other activity creating unreasonable legal or commercial risk.

12. Payment Authorization

By submitting an order, you represent that you are authorized to use the payment method provided.

You expressly authorize Mary Pay and its payment processors to charge the payment method for:

  • Merchandise;
  • Taxes;
  • Shipping;
  • Handling;
  • Other charges disclosed and accepted at checkout; and
  • Other amounts separately authorized by you and legally permitted.

Completion of checkout constitutes your electronic authorization of the transaction.

Mary Pay may retain transaction records necessary to document payment authorization, fulfillment, delivery, refunds, chargebacks, fraud investigations, or unpaid obligations.

13. Chargeback Re-Charge Authorization

If you initiate a chargeback or payment dispute and the original purchase obligation remains valid and unpaid after the dispute is withdrawn, denied, reversed, or otherwise resolved in Mary Pay’s favor, you authorize Mary Pay to seek payment of the valid unpaid amount.

Where permitted by applicable law, processor requirements, issuer rules, and applicable card-network rules, this may include reprocessing or re-charging the originally authorized payment method.

This provision does not authorize Mary Pay to:

  • Charge amounts not lawfully owed;
  • Circumvent a valid card-network decision;
  • Penalize a customer merely for filing a lawful dispute; or
  • Override rights that cannot legally be waived.

14. Fraudulent or Knowingly False Chargebacks

Mary Pay recognizes the difference between a legitimate payment dispute and deliberate chargeback abuse.

A customer is not considered fraudulent merely because the customer disputes a transaction.

However, Mary Pay may investigate circumstances where evidence indicates that a customer knowingly:

  • Falsely denied authorizing an order;
  • Falsely claimed merchandise was not delivered;
  • Falsely represented the condition or identity of merchandise;
  • Retained merchandise while attempting to reverse payment without using an available return procedure;
  • Submitted materially false information to a payment provider;
  • Sought both a merchant refund and a chargeback for the same transaction; or
  • Otherwise attempted to obtain merchandise without lawful payment.

Knowingly filing a false chargeback does not convert a valid purchase into free merchandise.

Mary Pay may preserve and provide appropriate transaction evidence to payment processors, financial institutions, card networks, fraud-prevention providers, loss-prevention partners, collection providers, attorneys, courts, law-enforcement authorities, or other appropriate parties where legally permitted.

15. Valid Unpaid Balances and Collections

A card issuer’s or payment processor’s decision concerning a chargeback does not necessarily determine whether an independent contractual debt remains legally enforceable.

Where Mary Pay reasonably and in good faith determines that a valid amount remains legally due, Mary Pay may:

  • Contact the customer for payment;
  • Provide an opportunity to resolve the matter;
  • Pursue payment through lawful means;
  • Refer a valid unpaid account to a collection provider;
  • Pursue appropriate civil remedies; or
  • Restrict future transactions.

Mary Pay will not knowingly attempt to collect a debt that it knows is invalid.

Any collection activity is subject to applicable law.

16. Returns and Refunds

Returns, cancellations, refunds, restocking charges, unauthorized returns, and related matters are governed by Mary Pay’s separate Return, Refund, Payment Authorization & Chargeback Policy, which is incorporated into these Terms.

Unless otherwise stated on the applicable product page, eligible merchandise may generally be requested for return within 30 days after delivery.

Eligible returns may be subject to a restocking fee of up to 15% where permitted by law and provided for under the applicable return policy.

17. Return Authorization Required

Products must not be returned without prior authorization.

Customers must contact:

support@marypay.com

and follow the return instructions provided for the specific order.

Customers must not independently select a return destination based on:

  • Mary Pay’s corporate address;
  • Registered-agent information;
  • Public business records;
  • Supplier addresses;
  • Employee addresses;
  • Fulfillment-center addresses; or
  • Any other address not specifically authorized for the return.

An unauthorized shipment does not automatically create a refund or credit obligation.

18. Unauthorized Returns and Unclaimed Merchandise

Merchandise returned without authorization or sent to an address not specifically approved for that return may be treated as an Unauthorized Return.

Where permitted by law:

  • Unauthorized merchandise may be ineligible for refund or credit;
  • Mary Pay is not obligated to pay the cost of returning the merchandise;
  • The sender may be required to pay shipping, insurance, packaging, handling, storage, or other reasonable costs associated with retrieval; and
  • Mary Pay may hold the merchandise pending instructions.

If Mary Pay provides written notice concerning unauthorized merchandise, the sender should promptly arrange retrieval.

If merchandise remains unclaimed for 30 business days after written notice, Mary Pay may take steps concerning that merchandise to the extent permitted by applicable law, including returning it to a supplier, donating it, recycling it, liquidating it, disposing of it, or otherwise handling it as legally permitted.

Nothing in these Terms transfers ownership or permits disposal of property where applicable law prohibits doing so.

19. Shipping and Delivery

Shipping estimates are estimates unless Mary Pay expressly guarantees a delivery date.

Delivery may be affected by:

  • Carrier delays;
  • Weather;
  • Supplier delays;
  • Inventory availability;
  • Customs;
  • Government action;
  • Natural disasters;
  • Transportation disruptions; and
  • Events outside Mary Pay’s reasonable control.

Customers are responsible for providing a complete and accurate delivery address.

20. Delivery Evidence

Tracking information, carrier records, signatures, photographs, geolocation information supplied by a carrier, or other delivery evidence may be used to establish fulfillment or delivery.

If a customer claims a package was not received despite confirmed delivery, Mary Pay may request cooperation with:

  • Carrier investigations;
  • Loss-prevention investigations;
  • Insurance claims;
  • Identity verification; or
  • Other reasonable verification procedures.

21. Refused and Undeliverable Shipments

Refusing a shipment does not automatically create a right to a full refund.

Where permitted by law, approved refunds concerning refused, unclaimed, or undeliverable shipments may be reduced by:

  • Original shipping;
  • Return freight;
  • Carrier charges;
  • Supplier fees;
  • Handling costs; and
  • Any applicable restocking fee.

22. Cancellations

Cancellation requests should be sent immediately to support@marypay.com.

Mary Pay cannot guarantee cancellation after:

  • Supplier submission;
  • Order processing;
  • Packaging;
  • Fulfillment; or
  • Shipment.

Reasonable non-recoverable costs and any otherwise applicable restocking charge may apply where legally permitted.

23. Marketing and Affiliated Brands

Where permitted by applicable law and consistent with Mary Pay’s Privacy Policy, Mary Pay may communicate with customers concerning Mary Pay products, services, development, and promotions.

Mary Pay may also market products, services, promotions, or information concerning affiliated or commonly owned brands, which may include:

Mary Mobile™

Equipment Leader™

Customers may unsubscribe from promotional email communications using the unsubscribe mechanism included in those communications.

Marketing opt-outs do not prevent transactional, security, legal, account, order, fraud-prevention, or other necessary business communications.

24. Newsletter

Mary Pay may offer a newsletter providing information concerning:

  • Mary Pay;
  • Merchant products;
  • POS products;
  • Fintech development;
  • Future payment technology;
  • Company developments;
  • Mary Mobile™;
  • Equipment Leader™; and
  • Other affiliated products or services.

Newsletter subscription does not constitute enrollment in any regulated financial product.

25. Privacy

Your use of MaryPay.com is also subject to the Mary Pay Privacy Policy.

The Privacy Policy describes how Mary Pay may collect, use, retain, and disclose personal information, including for:

  • Ecommerce;
  • Payment processing;
  • Order fulfillment;
  • Marketing;
  • Affiliate marketing;
  • Fraud prevention;
  • Loss prevention;
  • Chargeback response;
  • Collections;
  • Security; and
  • Legal purposes.

26. Intellectual Property

MaryPay.com and its original content, branding, logos, graphics, text, design elements, and other proprietary materials may be protected by trademark, copyright, trade dress, unfair-competition, or other intellectual-property laws.

Mary Pay™, the Mary Pay name, associated branding, and related source identifiers are claimed as trademarks or service marks where applicable.

Nothing in these Terms grants any person permission to use Mary Pay’s intellectual property except as expressly authorized in writing.

27. Prohibited Uses

You may not use MaryPay.com or the Services to:

  • Violate applicable law;
  • Commit fraud;
  • Engage in identity theft;
  • Submit false payment information;
  • Attempt unauthorized access;
  • Introduce malicious software;
  • Scrape or harvest information in violation of law or these Terms;
  • Interfere with website operation;
  • Impersonate another person or organization;
  • Circumvent security or transaction controls;
  • Abuse promotional programs;
  • Submit knowingly false claims;
  • Misuse chargeback procedures;
  • Infringe intellectual-property rights; or
  • Engage in activity reasonably likely to harm Mary Pay, its customers, affiliates, suppliers, or service providers.

28. Fraud and Loss Prevention

Mary Pay may employ fraud-prevention, loss-prevention, cybersecurity, risk-management, and identity-verification measures.

Where appropriate and permitted by law, Mary Pay may share relevant information with:

  • Shopify;
  • Payment processors;
  • Financial institutions;
  • Card networks;
  • Loss-prevention partners;
  • Fraud-prevention providers;
  • Suppliers;
  • Carriers;
  • Collection providers;
  • Insurers;
  • Attorneys;
  • Law-enforcement agencies; or
  • Other appropriate parties.

29. Suspension or Refusal of Service

Mary Pay reserves the right, where permitted by law, to decline, restrict, suspend, or terminate access to the Services or future transactions where reasonably necessary because of:

  • Suspected fraud;
  • Repeated abusive returns;
  • Payment abuse;
  • Materially false information;
  • Security concerns;
  • Policy violations;
  • Legal requirements; or
  • Unreasonable commercial risk.

Mary Pay will not restrict rights that applicable law prohibits us from restricting.

30. No Professional Financial Advice

Content on MaryPay.com is provided for general informational and commercial purposes.

Unless expressly stated otherwise, Mary Pay does not provide individualized:

  • Investment advice;
  • Legal advice;
  • Tax advice;
  • Accounting advice;
  • Credit advice; or
  • Financial-planning advice.

Customers should obtain appropriate professional advice when necessary.

31. No Investment Offering

Nothing on MaryPay.com, including descriptions of Mary Pay’s development plans, future payment platform, nationwide goals, or regulatory preparation, constitutes an offer to sell securities or a solicitation to invest.

Purchasing merchandise does not provide an ownership interest in Mary Pay.

32. Disclaimer of Warranties

To the fullest extent permitted by applicable law, MaryPay.com and the Services are provided on an “as available” and “as is” basis except for warranties expressly provided in writing or warranties that cannot legally be disclaimed.

Mary Pay does not guarantee that:

  • The website will always be uninterrupted;
  • Every website error will be corrected immediately;
  • Every third-party product will meet every customer’s particular needs;
  • Every future feature discussed on the site will be launched; or
  • A future financial or payment service will become available on a particular date.

This provision does not disclaim warranties that applicable law does not permit Mary Pay to disclaim.

33. Limitation of Liability

To the fullest extent permitted by applicable law, Mary Pay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of the Services where such damages may lawfully be excluded.

Nothing in these Terms excludes liability that applicable law prohibits Mary Pay from excluding.

34. Indemnification

To the extent permitted by law, you agree to indemnify and hold Mary Pay harmless from third-party claims, losses, liabilities, or reasonable costs arising from your:

  • Unlawful use of the Services;
  • Material violation of these Terms;
  • Fraudulent activity;
  • Intellectual-property infringement; or
  • Misuse of another person’s payment information.

This provision does not require a consumer to indemnify Mary Pay where such an obligation is prohibited by law.

35. Governing Law

To the extent permitted by applicable law, these Terms and disputes arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Mandatory consumer protections of a customer’s home jurisdiction remain applicable where they cannot lawfully be waived.

36. Informal Dispute Resolution

Before initiating formal litigation or arbitration, you and Mary Pay agree, where permitted by law, to attempt in good faith to resolve the dispute informally.

Notices to Mary Pay should be sent to:

and should include sufficient information to identify:

  • The customer;
  • The applicable transaction;
  • The nature of the dispute; and
  • The requested resolution.

37. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS LEGAL RIGHTS.

Except where prohibited by law or where a party properly brings an eligible matter in small-claims court, disputes arising out of or relating to these Terms, MaryPay.com, or a transaction with Mary Pay may be resolved through individual binding arbitration rather than litigation in court.

The arbitration will be conducted by a mutually acceptable arbitration provider under applicable consumer or commercial arbitration rules, as appropriate.

Nothing in this section prevents either party from seeking emergency or temporary injunctive relief where legally available.

38. Class Action Waiver

To the fullest extent permitted by law, disputes subject to arbitration must be brought on an individual basis and not as a plaintiff or class member in a purported class, consolidated, representative, or collective proceeding.

If applicable law prohibits enforcement of this waiver for a particular claim, that claim will be handled as required by law.

39. Small Claims

Either party may bring an eligible individual dispute in an appropriate small-claims court instead of arbitration where permitted by applicable rules and law.

40. Intellectual Property and Injunctive Relief

Nothing in the arbitration provisions prevents Mary Pay or another party from seeking appropriate judicial relief concerning:

  • Trademark infringement;
  • Copyright infringement;
  • Misappropriation of intellectual property;
  • Unauthorized access;
  • Cybersecurity attacks; or
  • Similar conduct where immediate equitable relief may be legally appropriate.

41. Changes to These Terms

Mary Pay may update these Terms to reflect changes in:

  • Business operations;
  • Products;
  • Services;
  • Technology;
  • Policies;
  • Affiliates;
  • Legal requirements; or
  • Regulatory requirements.

Updated Terms will be posted on MaryPay.com with a revised Last Updated date.

Where applicable law requires additional notice or consent, Mary Pay will provide it.

Changes will not retroactively eliminate rights that cannot legally be modified after a transaction.

42. Severability

If a provision of these Terms is held unenforceable, invalid, or unlawful, the remaining provisions will remain effective to the fullest extent legally permitted.

43. No Waiver

Mary Pay’s failure to enforce a provision on one occasion does not waive the right to enforce that provision later.

44. Assignment

Mary Pay may assign or transfer these Terms as part of a merger, acquisition, restructuring, sale of assets, financing, corporate reorganization, or similar transaction where legally permitted.

Customers may not assign contractual rights or obligations where such assignment would materially affect Mary Pay without prior written consent, except where applicable law provides otherwise.

45. Entire Agreement

These Terms, together with policies expressly incorporated by reference and applicable product-specific terms, constitute the agreement between Mary Pay and the customer concerning use of the Services and applicable transactions.

For the arbitration, class-waiver, re-charge authorization, collections, and 30-business-day unclaimed-return provisions, I would have counsel review the final version before relying on them operationally. Also, make the Terms and Return Policy acceptance conspicuous at checkout rather than relying only on a footer link.
